Sonic-Alphaのゲームコンテンツ使用許諾契約

これは、Sonic-Alpha(エメローズ合同会社、以下当社と言います)とValve社が運営する国際ゲーム配信プラットフォームSTEAM(以下STEAMと言います)で当社が利用権を販売しているゲーム(以下コンテンツといいます)を購入したユーザー(以下ユーザーと言います)との間に交わされる契約です。ユーザーはコンテンツをSTEAMで購入したときにこの契約に同意したものとみなされます。

1.コンテンツの使用許諾
公式サイトおよびコンテンツにおける著作権その他一切の知的財産権は、当社、Unity Asset Storeの配信者、Adobe社、Autodesk社、MAGIX Software社、The Game Creators社、その他コンテンツが使用許諾を得ている素材の作成者に帰属します。
コンテンツは、当社からユーザーに使用許諾されるものです。当該使用許諾によりユーザーに許諾されない権利は、全て当社に留保されます。
2.禁止事項
ユーザーは、コンテンツを使用するにあたり、以下の行為を行ってはならないものとします。
本契約に明示された場合を除いて、コンテンツの改変、修正、二次著作物の作成およびこれらの配布(有償・無償を問わない)、使用並びにこれらの利用を第三者に誘発、推奨させるような全ての行為。
コンテンツを商行為に使用すること。ゲームの内容を録画したものをアップロードして収益を得ることを禁止します。
当社が意図する目的以外で使用すること。
上記(1)から(3)に準ずる一切の行為。

3.保証及び責任の範囲
コンテンツは、当社がユーザーにSTEAMを通じてコンテンツを提供する時点で当社にとって提供可能なものとし、以降当社により、事前の予告を行うことなく仕様を変更することがあります。当社はコンテンツが、いかなる環境下においても使用可能なことを保証するものではありません。
当社は、コンテンツについて、その完全性・正確性・有用性・信頼性等に関して、いかなる保証もいたしません。
当社は、ユーザーのパソコンにおいて正常に利用できることを保証いたしません。
当社は、ユーザーがコンテンツの利用により生じる結果について、ユーザーその他の第三者に対して、その原因の如何を問わず、いかなる責任も負担しないものとします。
当社は、コンテンツの使用方法などに関して、いつでも変更できるものとします。コンテンツの変更に関しては、コンテンツのSTEAM STOREページで案内するものとし、ユーザーはその変更方法を確認するために、定期的に当社指定のサイトを訪問し、その変更内容を確認するものとします。なお、当該内容をユーザーが確認しなかったことにより発生したユーザーの損害に関して、当社は一切責任を負いません。

4.その他

上記に記載の条件を満たしている場合であっても、当社が合理的な理由をもって不適当であると判断した場合には、コンテンツを掲載および転載したホームページの修正をお願いする場合があります。原則として、いかなる理由があろうとも、キュレーターコネクト以外の用途でコンテンツのSTEAMキー発行は行いません。ユーザーは、コンテンツがインディーゲームであり、コンテンツに不具合があったり、コンテンツが不十分である代わりにコンテンツの価格が安いことを理解し購入しなければなりません。

5.準拠法
本契約の成立、効力、履行及び解釈に関しては日本国法が適用されます。

6.紛争解決
ユーザーと当社との間で、コンテンツの許諾に関連して何等かの問題・紛争・トラブル等が生じた場合には、当事者間で信義誠実の原則に則って協議によって解決を図るものとします。万が一、当事者間での協議により解決することができなかった場合には、東京地方裁判所を、当該当事者間の第一審の専属的合意管轄裁判所として、その解決を図るものとします。これは、ユーザーがどの国籍でも適用されます。


特記事項

当社は、Unity Technologies、Autodesk Inc.の3Dモデル素材、MAGIX Software GmbH.のコマーシャル用音源にライセンス料金を支払っています。動画や画像の編集には、Adobe.の正規商品を使用しています。

・日本国法では、ゲームタイトルが単にそのゲームの内容を表すに過ぎないような場合において、それを商標とは認められません。Sonic-Alphaの”Air Combat”は英語で”空中戦”という意味であり、ゲームの内容は”空中戦”です。例え他社がこのゲームタイトルでゲームを発売していたとしても、このゲームのタイトルはユニークなものではなく、商標とはみなされないと考えられます。

・ゲーム内の航空機は仮想のものですが、ここではその航空機を正式に命名した場合のことについて記述します。ゲーム内での航空機のライセンス料について、その航空機が国家の予算で軍からの調達によって開発と製造がおこなわれている場合、その航空機の製造業者にライセンス料を支払う義務はありません。厳密に言えば、その航空機を運用している国家に対してライセンス料を支払う必要がありますが、国家が小規模なインディメーカーにライセンス料の徴収を求めることは現実的ではない上、漫画や小説などもライセンス料を支払っておらず、ゲームだけが支払う理由はないと考えています。また、当社はゲーム内の航空機モデルをすべてUnity asset storeで購入しており、ライセンス料金の支払いの義務はすべてUnity asset storeの配信者にあると考えられます。この場合、問題となるのは特定の国家の航空機を不当に性能評価してゲームにすることです。Sonic-Alphaのゲームでは、ステルス戦闘機が意味をなさないという仮想世界において、単に航空機の評価を年代順に決めており、特定の国家の戦闘機が性能で劣っているということはありません。

End-User License Agreement of Sonic-Alpha games

This is an agreement between Sonic-Alpha (Emerose LLC.,hereinafter referred to as the company) And the user who purchased Sonic-Alpha games(hereinafter referred to as the content) at STEAM (hereinafter referred to as the user).
Users are deemed to have agreed to this contract when they purchased our  games.

1. License for in-game content
The copyrights and all other intellectual property rights on official sites and Sonic-Alpha games are licensed by us, the distributors of the Unity Asset Store, Adobe, Autodesk, MAGIX Software, The Game Creators, etc. It belongs to the creator of the materials.
Game content is licensed to users by us. All rights not granted to the user under such license are reserved to the company.

2. Prohibited matters
Users shall not perform the following actions when using the game content.
With the exception of the case that has been specified in this Agreement, modification of content, modification, creation and distribution of these secondary work (whether paid and unpaid), use as well as induce these available to a third party, to be recommended All such acts.
Use game content for any purpose other than the one our company intended.
Use the game content for business activities. We don’t allow you to earn money by uploading recorded game content.

3. Scope of warranty and liability

We can change at any time regarding how to use the game content. The game content change will be announced on the STEAM STORE page, and the user will periodically visit our designated site to confirm the change and confirm the change. 4. Other

Even if the conditions described above are met, we may request modification of the website where the game content was posted and reprinted if the Company deems to be inappropriate with reasonable reasons. In principle, for any purpose other than Curator Connect, we will NOT issue STEAM keys for contents.Users must understand and purchase that content is indie, content is flawed, and content is low but content is cheap.

5. Governing law
Japanese law will apply to the establishment, effect, performance and interpretation of the Terms.

6. Conflict resolution
If any problems, disputes, problems, etc. occur between the user and the Company in relation to the permission of the in-game content, the parties shall settle the solution by consultation based on the principle of sincerity and integrity. You If the problem can not be resolved by consultation between the parties, the Tokyo District Court(Japan) shall act as the exclusive court of the first trial between the parties concerned. This applies to users of any nationality.

Japanese law does not recognize a game title as a trademark when it merely represents the content of the game. “Air Combat” in Sonic-Alpha means “air battle” in English, and the content of the game is “air battle”. Even if another company has released a game with this game title, the title of this game is not unique and is considered not to be a trademark.

The aircraft in the game is virtual, but here we will describe the case where the aircraft is officially named.Regarding the license fee of the aircraft in the game, if the aircraft is developed and manufactured by the military budget on the national budget, there is no obligation to pay the license fee to the manufacturer of the aircraft.
